Terms of Service

By creating an account or using the Nirva platform, you agree to these Terms of Service. If you do not agree, do not use the service. These terms form a binding agreement between you and Nirva Technologies Pvt Ltd.

Nirva provides cloud-based Finance OS and HR & Payroll OS software for Indian SMEs. The service includes invoice generation, GST compliance tools, payroll processing, and related features as described on our pricing page. Features may change; we will notify you of material changes.

You are responsible for: • Keeping your login credentials confidential • All activity that occurs under your account • Ensuring the accuracy of data you enter (GSTIN, PAN, employee details, etc.) • Complying with all applicable laws when using the service, including GST, Income Tax, EPF, and ESIC regulations You must be at least 18 years old and authorised to enter into contracts on behalf of the business you register.

You may not: • Use the service for unlawful purposes or to process fraudulent transactions • Attempt to circumvent security measures or access other customers' data • Reverse engineer, decompile, or create derivative works from the service • Resell or white-label the service without a written reseller agreement • Upload malware, spam, or content that infringes third-party intellectual property

Nirva uses a prepaid credit wallet. Credits are consumed per transaction type (invoices, vendor bills, payroll runs) as described on the pricing page. Credits are non-refundable except where required by law. We reserve the right to change pricing with 30 days' notice. If you do not accept the new pricing, you may cancel before the effective date and retain your remaining credits for 90 days.

You retain ownership of all data you enter into Nirva. We act as a data processor on your instructions. We will not access, use, or disclose your data except as described in our Privacy Policy or as required by law. You are the data controller for employee personal data you enter. You are responsible for obtaining any consents required under applicable law before entering employee data into the system.

We target 99.5% monthly uptime for the core application. Planned maintenance will be notified at least 24 hours in advance via email and in-app notice. Support is available via email at support@nirva.in. Response times: critical issues (data loss, security) within 4 hours; other issues within 1 business day.

Nirva provides tools to help you calculate and file statutory returns (GST, PF, ESI, TDS). However: • Nirva does not provide legal or tax advice • You are responsible for verifying calculations before filing • You are responsible for timely filing and payment of all statutory dues • Nirva is not liable for penalties arising from late filing or incorrect data you provide We recommend consulting a qualified CA or HR professional for complex compliance matters.

To the maximum extent permitted by applicable law, Nirva Technologies Pvt Ltd shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, data, or business opportunity • Damages exceeding the amounts paid by you in the 3 months preceding the claim We do not warrant that the service will be error-free. Your use of the service is at your own risk.

You may close your account at any time from Settings → Account. We will delete your data in accordance with our Privacy Policy. We may suspend or terminate your account if you violate these terms, fail to pay, or engage in activity that puts other users or the service at risk. We will give you 14 days' notice except for serious violations.

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India.
